Terms and Conditions

Please read these Terms and Conditions (“Terms”) carefully before using the Precision Partners platform operated by Vertex Partners LLC (“we,” “us,” or “our”) at precisionpartners.io (the “Service”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Precision Partners is an all-in-one platform for service businesses that provides AI-powered voice agents, a built-in CRM, SMS and email follow-up tools, lead pipeline management, appointment tracking, and a dedicated business phone number. The platform is designed to answer inbound calls on behalf of subscribing businesses 24 hours a day, 7 days a week, capture caller information, and facilitate post-call communication. Calls answered by the AI voice agent are recorded and transcribed. The platform plays a recording notice to callers at the start of each call; however, you are responsible for ensuring that any additional caller notice or consent required by the laws of your jurisdiction is provided.

2. SMS Messaging Service

As part of the Service, Precision Partners enables subscribing businesses to send SMS messages to individuals who have called or otherwise initiated contact with that business.

• Consent-based messaging only: SMS messages are sent solely to individuals who have initiated contact with a client business by calling the business’s AI-powered phone number or by otherwise providing their contact information to the business.
• Message content: Messages may include follow-up communications, appointment confirmations, service information, and other content relevant to the prior interaction.
• Message frequency: Message frequency varies based on your interaction with the business. You may receive one or more messages per interaction.
• Message and data rates may apply. Standard messaging and data rates from your mobile carrier may apply to messages you receive or send.
• Opt-out: You may opt out of receiving SMS messages from a business at any time by replying STOP to any message sent to you. After sending STOP you will receive a single confirmation and no further messages will be sent to that number from that business.

3. Accounts, Subscriptions, and Billing

To use the Service, businesses must create an account and subscribe to a paid plan. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate and complete information during registration.

• 7-day free trial: New subscriptions include a 7-day free trial. We collect and securely store your payment method through our payment processor (Stripe) when you sign up, but we do not charge it for the plan during the trial period.
• Automatic charge after the trial: Unless you cancel before your 7-day free trial ends, we will automatically charge your saved payment method the monthly subscription fee for the plan you selected at the end of the trial.
• Monthly automatic renewal: After the first charge, your subscription automatically renews and bills to your saved payment method every month until you cancel. There are no setup fees and no one-time fees.
• Usage and add-ons: In addition to the flat monthly plan, AI voice usage is billed at $0.20 per minute of AI talk time, itemized on each monthly invoice. Optional add-ons you choose to purchase (such as direct-mail campaigns, additional phone numbers, or a website upgrade) are charged separately to your saved payment method at the time of purchase.
• Cancellation: You may cancel at any time from your dashboard under Settings, or by contacting us at matthew@precisionpartners.io. If you cancel during your free trial, you will not be charged for the plan. Cancellation takes effect at the end of your current trial or billing period, and you retain access until then. Except where required by applicable law, fees already charged are non-refundable.

4. Acceptable Use

You agree not to use the Service to:

• Send unsolicited or spam messages to individuals who have not initiated contact with your business.
• Violate any applicable law or regulation, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any part of the Service or its related systems.

5. Intellectual Property

The Service and all content, features, and functionality (including but not limited to software, text, graphics, logos, and the AI models) are owned by Vertex Partners LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.

6. Third-Party Services

The Service integrates with third-party providers including Stripe (payment processing), Twilio (telephony and SMS), Vapi (AI voice), Supabase (data storage), Resend (email), and Anthropic (AI analysis). Your use of these integrations is subject to the respective third-party terms of service and privacy policies. We are not responsible for the practices of these third parties.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED CALL SUMMARIES, TRANSCRIPTS, AND FOLLOW-UP DRAFTS MAY CONTAIN ERRORS AND SHOULD BE REVIEWED BEFORE RELIANCE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERTEX PARTNERS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US IN THE THREE-MONTH PERIOD PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Vertex Partners LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Texas, and you hereby consent to the personal jurisdiction of such courts.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised “Last updated” date. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

12. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, third parties, or the business interests of Vertex Partners LLC.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vertex Partners LLC regarding your use of the Service and supersede all prior agreements and understandings, whether written or oral, relating to the same subject matter.
